Terms of Service

The terms that apply when you use MindCODE products and services or pay a MindCODE invoice.

1. Agreement

These terms govern your use of the websites, products and services of MindCODE LLC, a Wyoming limited liability company ("MindCODE", "we" or "us"). By creating an account, using an API key, signing an order or paying an invoice, you accept these terms for yourself and for the organization you represent.

Where a signed order form, statement of work or master service agreement between you and MindCODE says something different, that signed document applies.

2. Our services

The services are Research Agents, Autonomous Runs, Verify and the Model API, and project services such as custom models, private deployment and research services, as described on this website or in your order.

Some products are offered in early access. Their features can change as we develop them, and we will tell you in advance about any change that affects work in progress.

3. Accounts and API keys

Keep your passwords and API keys confidential and share them only with people in your organization who need them. You are responsible for activity under your account and keys.

If you think a key has been exposed, write to service@mindcode.cc. We will revoke it and issue a new one.

4. Acceptable use

Use the services lawfully and in line with these terms. In particular, you agree:

  • to upload only data you have the right to use, with the consents and ethics approvals your research requires, including for personal and health data;
  • to stay within the rate limits and usage terms of your plan;
  • to leave the security of the services intact, without probing, disrupting or reverse engineering them;
  • to keep access within your organization unless we agree in writing to resale or sharing;
  • to comply with the export control and sanctions laws that apply to you and to us.

The services support research. They are not a medical device and are not intended to diagnose, treat or prevent disease, or to guide the care of individual patients.

5. Your data and outputs

You keep all rights in the data, files and prompts you provide ("Customer Data") and in the outputs the services produce for you.

We use Customer Data only to provide and support the services for you. We do not use it to train models offered to other customers without your written permission.

We keep records of API requests, such as time, model and token counts, to meter usage, prepare invoices and keep the services secure.

6. Confidentiality

Each of us will protect the other's confidential information with at least reasonable care, use it only for the purposes of our work together and share it only with people who need it and are bound to keep it confidential.

7. Our intellectual property

MindCODE keeps all rights in the services, including our software, models, agents and documentation. Deliverables from project services belong to you once paid for, as set out in the statement of work.

If you send us suggestions, we may use them to improve the services.

8. Fees and payment

Fees are set out in your order, quote or invoice. Usage fees are calculated from our metered records of your requests.

Unless your order says otherwise, invoices are issued in US dollars and are due within 30 days of the invoice date. You can pay by card, ACH bank transfer, wire transfer or check. Card and ACH payments are processed by Stripe, and we do not store full card numbers.

Fees do not include sales, use or similar taxes, which are added where they apply. Amounts more than 30 days overdue may carry a finance charge of 1.5% per month or the highest rate the law allows, whichever is lower. We may pause the services for an overdue account after giving you written notice.

Questions about an invoice should reach us in writing at service@mindcode.cc within 15 days of the invoice date.

9. Cancellation and refunds

You can cancel a subscription at any time, and it ends with the current billing period. Our Refund and Cancellation Policy explains how refunds work for subscriptions, usage and projects.

10. Term and termination

These terms apply for as long as you use the services. Either of us may end them by written notice if the other materially breaches them and does not fix the breach within 30 days.

When the services end, you can export your Customer Data for 30 days. After that we delete it, except where the law requires us to keep it. Sections 5 to 8 and 11 to 13 continue after the services end.

11. Warranties and disclaimer

We provide the services with reasonable skill and care. Beyond that, the services are provided as they are and as available, to the extent the law allows.

AI outputs can contain errors. Review results before you rely on them, including in publications and decisions.

12. Limitation of liability

To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits or data. Each party's total liability under these terms is limited to the fees you paid MindCODE in the 12 months before the event giving rise to the claim. These limits do not apply to fees you owe or to breaches of confidentiality.

13. Governing law

These terms are governed by the laws of the State of Wyoming, United States. Any dispute will be heard in the state or federal courts located in Wyoming. We will always try to resolve a concern with you directly first.

14. Changes to these terms

We may update these terms as the services develop. For material changes we will give you at least 30 days' notice by email or on this page. The date below shows when the terms last changed.
